Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding agreement between you (the merchant or end user, “you”) and Gookit, Inc., a Delaware corporation (“gookit”, “we”, “us”, or “our”).

By accessing or using any application, website, or service we operate — including Barcodeman and any future apps we publish (collectively, the “Service”) — you agree to be bound by these Terms. If you do not agree, do not install or use the Service.

2. Definitions

  • Service or Apps — Barcodeman and any other software, websites, or services offered by Gookit, Inc..
  • Supported Platforms — the e-commerce platforms on which our Apps are distributed, currently BigCommerce, Shopify, WooCommerce, and Wix. This list may change as we add or remove platform support.
  • Merchant Data — the store catalog, order, customer, and operational data we access from your connected platform store solely to operate the Service.
  • Platform Terms — the terms of service, developer agreements, and policies of the Supported Platform on which you installed the Service.

3. Eligibility and Accounts

You must be at least 18 years old and authorized to bind the business that operates the connected store. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at hi@gookit.co of any unauthorized use.

4. Subscriptions, Billing, and Refunds

Subscriptions to paid plans are billed through the app store or marketplace of the Supported Platform on which you installed the Service (for example, the platform-specific app store or marketplace where you obtained the App).

All billing matters — including charge amounts, billing cycles, currency, taxes, free trials, plan upgrades and downgrades, cancellations, refunds, and chargebacks — are governed by the billing and refund policies of the applicable Supported Platform. Gookit, Inc. does not directly process payments and generally cannot issue refunds outside of those platforms' refund flows. Please review your platform's refund policy before subscribing.

5. Acceptable Use

You agree not to:

  • Use the Service in violation of any law or third-party right;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except where such restriction is prohibited by law;
  • Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent;
  • Use the Service to send spam, malware, or otherwise harmful content;
  • Interfere with or disrupt the integrity or performance of the Service, including by automated scraping, denial-of-service activity, or excessive requests outside documented rate limits;
  • Circumvent any access or usage restriction of the Service or any Supported Platform.

6. Intellectual Property

The Service, including all software, designs, trademarks, logos, and documentation, is owned by Gookit, Inc. and protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for the duration of your active subscription, solely for your business's internal operations on your connected store.

You retain all rights to your Merchant Data. By using the Service, you grant Gookit, Inc. a limited license to access, process, and transmit your Merchant Data solely as needed to operate, maintain, and improve the Service and as described in our Privacy Policy.

7. Feedback

If you provide suggestions, comments, or feedback about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

8. Merchant Data and Privacy

Our handling of Merchant Data and personal information is described in our Privacy Policy. By using the Service, you consent to the data practices described there.

You are responsible for (a) providing notice to and obtaining required consent from your store's customers regarding processing of their data through the Service, where applicable, and (b) complying with applicable privacy and data protection laws (including the GDPR and CCPA) in your use of the Service.

9. Beta and Pre-Release Features

Some features or apps may be designated as “Beta”, “Preview”, “Coming Soon”, or similar. Beta features are provided as-is, may change or be discontinued without notice, and may have additional restrictions. Beta features are excluded from any service level commitments and are not recommended for mission-critical workflows.

10. Third-Party Services

The Service may integrate with or rely on third-party services, including the Supported Platforms, payment processors, and infrastructure providers. We do not control those third parties and are not responsible for their availability, security, or performance. Your use of any third-party service is subject to that party's terms.

11. Platform Terms (Order of Precedence)

Your use of the Service is also subject to the Platform Terms of the Supported Platform on which you installed the Service. In the event of a conflict between these Terms and the Platform Terms with respect to platform-related matters — including billing, data processing, API usage, and developer obligations — the Platform Terms shall prevail.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY LABELS, BARCODES, INVENTORY ADJUSTMENTS, OR OTHER OUTPUTS GENERATED THROUGH THE SERVICE WILL BE ACCURATE OR COMPLETE.

You are responsible for verifying the accuracy of all outputs of the Service before relying on them in commerce.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOOKIT, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability; in those jurisdictions our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Gookit, Inc. and its officers, directors, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) your violation of these Terms or any Platform Terms, (c) your violation of any law or third-party right, or (d) the content or data you submit to the Service.

15. Termination

You may cancel your subscription at any time through the app store or admin of your Supported Platform. We may suspend or terminate your access to the Service if (a) you materially breach these Terms, (b) your use poses a security risk or risk of legal liability, or (c) we are required to do so by law or by the Supported Platform.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive termination.

16. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above shows when the Terms were most recently revised. For material changes, we will provide reasonable advance notice (for example, via in-app notice, email, or notice on our website). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict of laws principles. You and Gookit, Inc. agree that any dispute arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18. Miscellaneous

  • Entire Agreement. These Terms, together with our Privacy Policy and any Platform Terms, constitute the entire agreement between you and Gookit, Inc. regarding the Service.
  • Severability. If any provision is held unenforceable, the remainder will remain in effect.
  • No Waiver. Our failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. We are not liable for failures or delays caused by events beyond our reasonable control.
